The agreement between you and Syndic when you use our software to split, track, and reconcile shared expenses with your group.

1. The Agreement

1.1 Who we are

Syndic is operated by Syndic Ltd, a company registered in England and Wales. References to "Syndic", "we", "us", and "our" mean Syndic Ltd. References to "you" and "your" mean the person or entity using the platform.

1.2 Acceptance

By creating a Syndic account, joining a group, viewing a shared split link, or otherwise using any part of the platform, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, do not use Syndic.

1.3 Changes to these terms

We may update these terms from time to time. Material changes will be communicated by email (if you have an account) or through an in-app notice at least fourteen days before they take effect. Continuing to use Syndic after the effective date constitutes acceptance.

1.4 Eligibility

You must be at least 16 years old to create a Syndic account. By using the platform you confirm that you have the legal capacity to enter into this agreement and that your use of Syndic does not violate any law that applies to you.

2. The Service

2.1 What Syndic provides

Syndic is a software platform that helps groups calculate, allocate, and keep track of who paid what and who owes what for shared expenses. Features include group ledgers, multi- currency conversion at reference mid-market rates, recurring splits, contribution tracking, receipt parsing, and exportable records. We are a technology company; we are not a bank, payment institution, money-services business, or e-money issuer.

2.2 What Syndic does not do

Syndic does not receive, hold, transmit, or settle any funds on your behalf. We do not issue invoices, collect payments, or act as an intermediary or escrow agent. The actual movement of money between members happens entirely outside Syndic, through whichever payment rails the members choose to use.

2.3 Availability

We aim to keep Syndic available at all times but do not guarantee uninterrupted access. We may suspend the service for maintenance, security work, or in response to circumstances beyond our reasonable control. Where practical, we will give advance notice of planned downtime.

2.4 Currency reference rates

Where the platform displays amounts converted between currencies, the figures shown are calculated at the live mid-market rate at the time of conversion and are provided for reference only. They are not an offer to exchange currency. The actual exchange rate applied when a member settles up will be set by that member's bank or payment provider.

2.5 Free and paid features

Core functionality — creating groups, logging expenses, splitting, and reconciling — is available free of charge. Advanced organiser tools or custom plans for very large groups may be offered on paid terms which will be described and agreed separately at the time of purchase.

3. Accounts & Conduct

3.1 Account responsibility

You are responsible for safeguarding your login credentials and for any activity that occurs under your account. Notify us promptly via our contact page if you suspect unauthorised access.

3.2 Accuracy of information

You agree that the information you enter — names, amounts, currencies, allocations, recipient details — is accurate to the best of your knowledge. Syndic calculates from what it is given; the platform cannot detect or correct errors made when an expense is logged.

3.3 Prohibited use

You agree not to use Syndic to: (a) facilitate money laundering, terrorist financing, fraud or any other unlawful activity; (b) circumvent payment regulation, including by structuring settlements off-platform to avoid lawful oversight; (c) harass, defame, or harm another member; (d) attempt to access the platform's underlying systems by any means other than the published interfaces; or (e) reverse-engineer, scrape, or resell the service.

3.4 Content you submit

You retain ownership of the content you submit (group names, expense descriptions, uploaded receipts, comments). You grant Syndic a limited, worldwide, royalty-free licence to host, display, and process that content solely for the purpose of operating the platform for you and your group.

3.5 Group organisers

If you create a group or are designated as its organiser, you take on additional responsibilities: maintaining an accurate ledger, resolving disputes between members fairly, and ensuring that any contributions sent to you outside the platform are managed in accordance with what your group has agreed. Syndic does not act as an arbitrator.

4. Money Between Members

4.1 Settlements happen off-platform

All settlements between members occur outside Syndic, using whatever method the members already use — bank transfer, card-to-card, peer-to-peer apps, cash, or anything else. Syndic only records that a payment has been marked as made; it does not verify, witness, or guarantee any actual transfer of funds.

4.2 No financial advice

Nothing on the platform constitutes financial, tax, legal, or accounting advice. Reports and exports are working records of what your group entered, not professional opinions. Consult a qualified adviser if you need one.

4.3 Disputes between members

Disputes about whether an expense is fair, whether someone has actually paid, or how a balance should be allocated are private matters between the members involved. Because Syndic does not hold or move money, there is nothing for us to refund, freeze, or chargeback. The platform provides a transparent log of changes to help you reach agreement; the agreement itself is yours to make.

4.4 Tax

Each member is solely responsible for any tax consequences arising from settlements, contributions, or transfers made between them. Syndic does not report transactions to tax authorities and is not a payment processor for tax-reporting purposes.

5. Liability & Termination

5.1 Service provided as-is

Syndic is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no warranties — express or implied — about the platform's fitness for any particular purpose, its uninterrupted availability, or the accuracy of information you or other members enter into it.

5.2 Limitation of liability

To the maximum extent permitted by law, Syndic's total aggregate liability to you arising out of or in connection with your use of the platform is limited to the greater of the fees you paid us in the twelve months preceding the event giving rise to the claim, or one hundred pounds sterling (£100). We are not liable for indirect, consequential, or incidental losses, lost profits, or losses arising from settlements made or not made between members. Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

5.3 Indemnity

You agree to indemnify Syndic against any claim, loss, or expense arising from your breach of these terms, your misuse of the platform, or any dispute between you and another member regarding settlements made or owed.

5.4 Termination by you

You can stop using Syndic at any time and request deletion of your account through our contact page. Some records may be retained where required by law or to maintain the integrity of group ledgers in which other members still have an interest.

5.5 Termination by us

We may suspend or terminate your access to the platform if you breach these terms, if your use places the platform or other members at risk, or if continued provision of the service to you would conflict with applicable law. Where reasonable and lawful, we will give you notice and an opportunity to address the issue first.

5.6 Governing law

These terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer-protection law in your country of residence grants you the right to bring proceedings locally.
